Terms and License Agreement

1. Grant of License

Licensor grants you ("Licensee") a non-exclusive, revocable, non-transferable license to install, access, and use the Software for your own purposes, subject to this Agreement.

2. Permitted Use

You may:

• Use the Software for personal, research, or internal business purposes.
• Input and process your own data through the Software.
• Retain full ownership of all data you input or generate (see Section 6).

You may not:

• Distribute, sublicense, sell, rent, lease, or otherwise transfer the Software to third parties without written permission.
• Reverse-engineer, decompile, or modify the Software except where required by applicable law.
• Host the Software for commercial use by others without a separate commercial agreement.

3. Intellectual Property

All rights, title, and interest in and to the Software (including all source code, algorithms, models, documentation, and branding) remain the sole property of Licensor.

No rights are granted other than those expressly stated in this Agreement.

4. Changes to Terms

Licensor reserves the right to modify or terminate this license at any time, with or without notice.

Continued use of the Software after changes constitutes acceptance of the updated terms.

5. No Warranty

The Software is provided "AS IS" without warranty of any kind, express or implied.

Licensor is not liable for any damages arising from the use or inability to use the Software.

6. Data Ownership and Privacy

• You retain all rights to data you input into or generate with the Software.
• NanoCraftAI does not store or retain your data beyond active use in your session.
• Any incidental logs or connection data are maintained only by our hosting provider (Replit) under their privacy policy.
• You are solely responsible for storing any exports or outputs generated by the Software.

7. Termination

This license automatically terminates if you breach any term of this Agreement.

Upon termination, you must cease all use of the Software and delete all copies in your possession.

8. Governing Law

This Agreement is governed by the laws of the State of North Carolina, USA, without regard to conflict of laws principles.

9. Entire Agreement

This Agreement constitutes the entire understanding between Licensor and Licensee regarding the Software.
